Commercial law

Your company should grow. Not your legal risk.

Whether formation, restructuring or a dispute among shareholders: commercial and company law determines who may do what in your company and who is liable for what. I advise owners and boards of directors of SMEs, with the perspective gained from my own board of directors mandates.

What I take care of for you.

Formation and structure

AG or GmbH, articles of association, organisational regulations, commercial register. And the question of which structure fits your plans five years from now.

Shareholders and corporate bodies

Shareholders' agreements, partnership agreements, transfer restrictions, entry and exit of partners. Responsibilities and duties of the board of directors and management.

Disputes and transactions

Disputes among shareholders, challenges to resolutions, liability actions. Purchase and sale of companies or shareholdings.

Typical situations

Does one of these sound familiar?

Then a short conversation is worthwhile. Often, 30 minutes are enough to see which options you have and what the next step is.

  • Two partners are founding a company together and want to settle from the outset what happens in the event of exit, dispute or death.
  • A minority shareholder feels sidelined and wants to know their rights.
  • You sit on a board of directors and wonder what you are personally liable for.
  • A co-shareholder is to be bought out.

Frequently asked questions

Frequently asked questions about Commercial law.

Both offer limited liability. The GmbH is cheaper with CHF 20 000 in nominal capital and more personal (the shareholders are visible in the commercial register). The AG requires CHF 100 000 in share capital, of which at least CHF 50 000 paid in, but in return offers anonymity for shareholders and is more flexible for succession and investors. The choice depends on your goals.
